Terms of Service

UnitOne Inc. (“UnitOne,” “we,” “us,” or “our”)

These Terms of Service (the “Terms”) govern your access to and use of UnitOne’s websites, products, and services, including IQStudio, UnitOne Gateway, and related offerings made available at unitone.ai (collectively, the “Services”).

By accessing or using the Services, creating an account, or signing in to IQStudio (including via Google or other supported identity providers), you agree to these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

If you do not agree, do not use the Services.


1. Acceptance of Terms

These Terms form a binding agreement between you and UnitOne Inc., a Delaware corporation with its principal place of business in Seattle, Washington.

Additional product-specific terms, order forms, or online plan pages may apply to particular Services. If there is a conflict between those documents and these Terms, the order form or product-specific terms control for that purchase; otherwise these Terms control.

Our Privacy Policy explains how we collect and use personal information. By using the Services, you also acknowledge that policy.

2. Eligibility; Accounts; Google and Other Sign-In

2.1 Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. The Services are intended for business and professional use, not for consumers or children.

2.2 Account registration

To use certain Services (including IQStudio), you may need an account. You agree to provide accurate information and to keep it updated. You are responsible for activity under your account and for safeguarding credentials and connected identity-provider sessions.

2.3 Signing in to IQStudio

When you sign in to IQStudio—including with Google (OAuth), Microsoft, or another supported identity provider—you authorize UnitOne to receive basic account identifiers (such as name, email, and provider subject ID) needed to create and manage your IQStudio account and to operate the Service. You must comply with the identity provider’s terms as well as these Terms.

You may disconnect Google or other providers from your account through the provider’s settings or, where available, in IQStudio. Disconnecting may limit or end access to features that rely on that sign-in method.

2.4 Organization accounts

If your organization administers IQStudio (for example via Microsoft Entra ID / Azure AD, Azure Marketplace, or an enterprise agreement), your organization’s administrator may control access, roles, and data retention. Your use may also be subject to your organization’s policies.

3. The Services; IQStudio

3.1 Overview

UnitOne provides software and related services for enterprise security and IT operations. Current offerings include:

  • IQStudio — agent lifecycle management for Microsoft 365 and Azure environments; and
  • UnitOne Gateway and related products and documentation on unitone.ai.

Features may change as we improve the Services. We may add, modify, or discontinue features with reasonable notice where practicable.

3.2 IQStudio deployment model

IQStudio is designed to deploy primarily within your Microsoft Azure subscription / tenant. Subject to your configuration and any order form:

  • Processing of your organizational content generally occurs in your cloud environment;
  • You retain control of that environment, including the ability to revoke access (for example by removing the IQStudio app registration from Microsoft Entra ID); and
  • UnitOne may receive limited operational telemetry (such as tenant identifiers, application version, aggregate counts, and timestamps) for licensing, support, and updates, as described in our Privacy Policy.

3.3 Customer responsibilities

You are responsible for: (a) your Azure / M365 configuration, permissions, and security controls; (b) content and agents you create or run; (c) compliance with Microsoft and other third-party terms; and (d) obtaining any consents required for your use of the Services with your data and users.

4. Customer Cloud Data; Residency; Our Access

Except as needed to provide the Services, support, security, or as described in the Privacy Policy or an order form, UnitOne does not claim ownership of your organizational content stored in your cloud tenant (“Customer Data”).

Where IQStudio (or Gateway’s data plane) runs in your cloud account, Customer Data remains in the regions and subscriptions you configure. UnitOne’s control-plane systems may process limited account, configuration, billing, and telemetry data, typically in the United States, as described in the Privacy Policy.

You grant UnitOne a limited license to process Customer Data and telemetry solely to provide, secure, support, and improve the Services, and as otherwise permitted by these Terms or required by law.

5. Acceptable Use

You will not, and will not allow others to:

  1. Use the Services unlawfully, or to violate others’ rights;
  2. Probe, scan, or test the vulnerability of the Services except with our prior written consent;
  3. Interfere with or disrupt the Services or others’ use;
  4. Reverse engineer, decompile, or attempt to extract source code except to the extent such restriction is prohibited by law;
  5. Circumvent access controls, usage limits, or licensing;
  6. Upload malware or harmful code;
  7. Use the Services to build a competing product using non-public aspects of the Services;
  8. Misrepresent your identity or affiliation;
  9. Use the Services in high-risk contexts where failure could cause death, personal injury, or severe environmental damage, unless we have agreed in writing; or
  10. Violate export, sanctions, or similar laws.

We may suspend or terminate access for violations or to protect the Services, users, or third parties.

6. Confidentiality

Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use it only to perform under these Terms and will protect it with reasonable care. Confidential Information does not include information that is public, independently developed, or rightfully received without duty of confidentiality.

Either party may disclose Confidential Information if required by law, after giving notice where legally permitted. Obligations survive for three (3) years after disclosure (and indefinitely for trade secrets).

7. Intellectual Property

7.1 UnitOne IP

UnitOne and its licensors own the Services, software, documentation, brands, and all related intellectual property. Except for the limited right to use the Services under these Terms, no rights are granted.

7.2 Customer Data and your materials

As between the parties, you retain all rights in Customer Data and materials you provide. You represent that you have the rights needed to use them with the Services.

7.3 Feedback

If you provide ideas, suggestions, or feedback, you grant UnitOne a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate them without restriction or attribution.

8. Third-Party Services (Google, Microsoft, and Others)

The Services may interoperate with third-party products, including Google (sign-in / OAuth), Microsoft (Azure, Entra ID, Microsoft 365, Graph, Marketplace), cloud providers, and payment processors.

Those third-party services are governed by their own terms and privacy policies. UnitOne is not responsible for third-party services we do not control. Your use of Google to sign in to IQStudio is also subject to Google’s applicable terms and privacy policy.

9. Fees; Trials; Taxes

Free, trial, and paid plans are described on unitone.ai (including pricing and start pages) or in an order form. Paid Services are billed as stated at purchase or in your order form. Fees are non-refundable except where required by law or expressly stated in writing. We may change prices for renewal periods with notice. You are responsible for applicable taxes unless we state otherwise.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THEY WILL MEET YOUR PARTICULAR SECURITY OR COMPLIANCE REQUIREMENTS WITHOUT YOUR OWN REVIEW AND CONTROLS.

UnitOne does not provide legal advice. Materials about regulations (including the EU Cyber Resilience Act) are informational only and do not determine your legal obligations or compliance status.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • UNITONE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • UNITONE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO UNITONE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU USE ONLY A FREE PLAN.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend and indemnify UnitOne and its officers, directors, employees, and agents against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) Customer Data; (b) your use of the Services in violation of these Terms or law; or (c) your dispute with a third party relating to your use of the Services.

13. Term; Suspension; Termination

These Terms apply while you access or use the Services. You may stop using the Services at any time. We may suspend or terminate access for material breach, security risk, non-payment, or discontinuation of a Service. Upon termination, your right to use the Services ends. Sections that by their nature should survive (including IP, confidentiality, disclaimers, liability limits, indemnity, and governing law) will survive.

14. Governing Law; Disputes

These Terms are governed by the laws of the State of Washington, excluding conflict-of-law rules, without limiting any mandatory protections that may apply in your jurisdiction. The state and federal courts located in King County, Washington will have exclusive jurisdiction, except that UnitOne may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or Confidential Information. UnitOne Inc. is a Delaware corporation.

15. Changes

We may update these Terms by posting a revised version at unitone.ai/terms and updating the “Last Updated” date. Material changes will take effect upon posting or as otherwise stated. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

16. General

These Terms, together with the Privacy Policy and any order form or enterprise agreement that expressly modifies these Terms, are the entire agreement regarding the Services. If a signed MSA, order form, or DPA conflicts with these Terms, the signed document controls for that conflict. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our prior consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. A failure to enforce a provision is not a waiver.
